Plazo indeterminado en las compañías anónimas : ventajas y remuneraciones de los fundadores y promotores.

Debido a que el derecho contiene una naturaleza evolutiva por el paso del tiempo y desarrollo de la sociedad a la cual se aplica, el derecho societario y su marco legal específico como lo es la Ley de Compañías no son ajenos a este cambio, por ello que se agreguen y supriman conceptos y figuras jurídicas disponibles a aplicarse en nuestro contexto social, siendo muy común que las nuevas formas legales ya existan en otros países más desarrollados con su propia configuración legislativa. Con la ley de modernización a la Ley de compañías, última reforma a la norma societaria del 10 de diciembre de 2020, abrió la posibilidad de la duración indeterminada a la existencia de la compañía anónima, este cambio podría afectar a derechos que son inherentes a ella, como las ventajas y remuneraciones a favor de los fundadores y promotores de la misma, los cuales se han visto alterados asimismo por la reforma, pues la duración de estos derechos era establecida por porcentajes de la vida útil de la compañía, y si esta tiene una vida indeterminada, los derechos que dependen de ella también lo serán, creando una ventaja ilegítima frente a accionistas que no sean fundadores o promotores.
Because the law contains an evolutionary nature due to the passage of time and the development of the society to which it applies, corporate law and its specific legal framework such as the Companies Law are not unrelated to this change, therefore concepts and legal figures available to be applied in our social context are added and deleted, being very common that new legal forms already exist in other more developed countries with their own legislative configuration. With the modernization law to the Companies Law, the latest amendment to the corporate law of December 10, 2020, it opened the possibility of an indeterminate duration to the existence of the anonymous company, this change could affect rights that are inherent to it , such as the advantages and remunerations in favor of the founders and promoters of the same, which have also been altered by the reform, since the duration of these rights was established by percentages of the useful life of the company, and if it has an indeterminate life, the rights that depend on it will also be, creating an illegitimate advantage over shareholders who are not founders or promoters.
